Software and support can affect what a buyer can do with a machine. Establish the dependency and ask the relevant vendor or adviser what can transfer. Do not assume that owning the physical equipment also transfers every licence, account or service entitlement.

The valuation question is about the offer the buyer can actually acquire. A machine described as complete may depend on access that has not yet been confirmed.

Map the dependencies

Use this checklist with the person who understands the system. Give each unresolved dependency a contact and a date for confirmation.

  • Identify the controller, embedded software and any separate software used for ordinary operation.
  • Record the documents that describe licences, subscriptions, support and updates.
  • Identify accounts, passwords or vendor permissions needed for the proposed handover.
  • Ask which functions operate locally and which depend on another service or system.
  • List business or customer data that requires an authorised handling decision before transfer.
  • Record what the vendor says about transfer, continued support and any conditions.
  • Preserve the scope, date and source of that confirmation.

Arrange account release and licence confirmation through the provider. Agree a separate plan for business data with the person responsible for it.

Ask questions that relate to the actual sale

A useful vendor enquiry names the machine, current licence holder and proposed change of owner. Ask what the buyer would need for the stated functions, which rights are transferable and whether a new agreement is required. Do not ask only whether the machine will still turn on.

Keep service support separate from legal rights. A licence may have one set of conditions while technical support has another. Avoid advertising either as available unless the evidence supports the exact statement.

Explain the effect without guessing a price

A buyer may need a new licence, vendor setup work or a different support arrangement. Those are separate costs and uncertainties to investigate. Give the valuer the confirmed terms and any quotations; do not convert an unanswered vendor enquiry into an arbitrary price discount.

Keep assumptions attached to the opinion

Tell the valuer when vendor confirmation is still pending. Read the assumptions guide and ask how the uncertainty appears in the resulting opinion. A later confirmation, restriction or new fee may warrant another conversation.

If the sale description changes after the vendor responds, update the included-item schedule and buyer information together. Do not leave an earlier promise of transferable software in a photograph caption or email template.
